2. Acceptance of Terms

By using our website or purchasing our services, you confirm that:

  • You are legally capable of entering into an agreement.

  • The information provided by you is accurate to the best of your knowledge.

  • You have authority to engage WebMalwa on behalf of a business or organization, where applicable.

  • You agree to comply with these Terms & Conditions.

  • You agree to our Privacy Policy and Refund & Cancellation Policy.

3. Quotations and Proposals

WebMalwa may provide quotations, proposals, estimates, or project plans before beginning a project.

A quotation may include:

  • Scope of work

  • Deliverables

  • Project timeline

  • Number of pages or designs

  • Number of revisions

  • Payment schedule

  • Third-party expenses

  • Additional terms applicable to the project

A quotation is based on the information available at the time it is prepared.

Changes in project requirements may result in changes to the price and delivery timeline.

Unless otherwise specified, quotations may have a limited validity period.

4. Project Scope

The project scope will be based on the approved quotation, proposal, invoice, or written agreement.

Services or features that are not specifically included in the agreed scope may be treated as additional work.

Examples may include:

  • Additional website pages

  • Additional design concepts

  • Additional revisions

  • Custom functionality

  • Additional integrations

  • Additional product uploads

  • Additional content creation

  • Additional graphics

  • Additional development work

Additional work may involve additional charges and delivery time.

5. Website Development Services

For website development projects, WebMalwa may provide services including design, development, content integration, responsive optimization, basic technical SEO structure, testing, and deployment as specified in the agreed scope.

The final website functionality will depend on the technologies, hosting environment, third-party services, and project requirements agreed upon.

Unless specifically included in the project scope, services such as ongoing SEO, digital marketing, professional copywriting, photography, advanced custom programming, or third-party subscription costs may be charged separately.

6. Shopify Services

WebMalwa may provide Shopify-related services including:

  • Shopify store setup

  • Theme customization

  • Store design

  • Product setup

  • App integration

  • Payment gateway configuration

  • Shipping configuration

  • Store optimization

  • Shopify store redesign

  • Custom functionality

Shopify is a third-party platform and its services, pricing, features, policies, availability, and technical limitations are controlled by Shopify.

WebMalwa is not responsible for changes made by Shopify to its platform, pricing, policies, APIs, themes, applications, or services.

Shopify subscription charges and other third-party costs are generally separate from WebMalwa's development charges unless specifically included in the quotation.

7. Graphic Design Services

Graphic design services may include logo design, branding, social media creatives, brochures, flyers, banners, packaging, stationery, and other creative materials.

The number of concepts, revisions, and final deliverables will depend on the agreed project scope.

Requests beyond the agreed scope may result in additional charges.

8. Printing Services

For printing orders, the client is responsible for carefully reviewing and approving the final artwork before production.

The client should verify:

  • Names

  • Phone numbers

  • Addresses

  • Dates

  • Prices

  • Spelling

  • Images

  • Logos

  • Dimensions

  • Quantities

  • Other printed information

Once final artwork is approved, WebMalwa may proceed with production.

WebMalwa will generally not be responsible for errors that were present in artwork approved by the client.

Minor variations in colour, paper, cutting, finishing, or print appearance may occur due to differences between digital displays and physical printing processes.

Printing orders are subject to the Refund & Cancellation Policy.

9. Client Responsibilities

The client agrees to provide accurate and timely information required to complete the project.

This may include:

  • Business information

  • Website content

  • Images

  • Logos

  • Product information

  • Contact details

  • Login credentials

  • Domain information

  • Hosting information

  • Shopify access

  • Required approvals

  • Feedback

Delays in providing required information may affect the project timeline.

WebMalwa is not responsible for delays caused by incomplete, inaccurate, or late information provided by the client.

10. Content and Materials Provided by Clients

The client is responsible for ensuring that any text, images, videos, logos, product information, trademarks, documents, or other materials provided to WebMalwa can legally be used.

The client confirms that they have the necessary rights, licenses, permissions, or authorizations to use materials provided for the project.

The client agrees to indemnify WebMalwa against claims arising from unauthorized use of client-provided materials, to the extent permitted by applicable law.

11. Domain Names and Hosting

Where domain registration or hosting is included in a project, the applicable terms of the relevant third-party provider may also apply.

Domain ownership and registration details should be provided accurately by the client.

Unless otherwise agreed in writing, WebMalwa is not responsible for:

  • Domain expiration caused by failure to renew

  • Third-party hosting outages

  • Registrar problems

  • DNS propagation delays

  • Third-party server failures

  • Suspension caused by a third-party provider

  • Changes to third-party hosting policies

12. Third-Party Services

Projects may require third-party products or services, including:

  • Shopify

  • Hosting providers

  • Domain registrars

  • Payment gateways

  • Plugins

  • Themes

  • Applications

  • Email services

  • Analytics platforms

  • Advertising platforms

  • Stock images

  • Fonts

  • Software subscriptions

Third-party services may have separate fees and terms.

WebMalwa does not control third-party services and cannot guarantee their continued availability, pricing, compatibility, or functionality.

13. Payments

Payment schedules will be specified in the quotation, invoice, proposal, or project agreement.

The client agrees to make payments according to the agreed schedule.

WebMalwa may suspend work if an agreed payment becomes overdue.

Project timelines may be affected by delayed payments.

Additional costs may apply if a project needs to be restarted or reactivated after an extended payment delay.

14. Revisions

The number of revisions included in a project will depend on the agreed scope.

A revision generally means a modification to the existing approved direction.

A complete change in the design, structure, functionality, or project requirements may be treated as additional work.

Additional revisions or changes outside the agreed scope may incur additional charges.

15. Project Timelines

WebMalwa will make reasonable efforts to complete projects within the estimated timeline communicated to the client.

However, project timelines may change because of:

  • Delayed client feedback

  • Delayed content

  • Delayed payments

  • Additional requirements

  • Third-party service delays

  • Technical issues

  • Changes in project scope

  • Force majeure events

Estimated delivery dates are not guaranteed unless a specific written agreement states otherwise.

16. Website Launch and Approval

Before launch, the client may be provided with an opportunity to review the website.

The client is responsible for checking the website and informing WebMalwa of any issues or changes within the agreed review period.

Once the client approves the website or confirms that it is ready for launch, subsequent changes may be treated as maintenance or additional work depending on the circumstances.

17. Website Maintenance and Support

Website maintenance and support are provided only when included in the purchased service or separately agreed upon.

Unless specifically stated otherwise, website development does not automatically include unlimited ongoing maintenance.

Maintenance may include:

  • Minor content updates

  • Bug fixes

  • Technical assistance

  • Plugin or theme updates

  • Performance improvements

The exact services depend on the selected maintenance plan.

18. SEO Disclaimer

WebMalwa may develop websites with an SEO-friendly technical structure where included in the project scope.

However, WebMalwa does not guarantee:

  • A specific Google ranking

  • A specific position in search results

  • A specific amount of website traffic

  • A specific number of leads

  • A specific number of sales

Search engine rankings are influenced by many factors outside WebMalwa's control, including search engine algorithms, competition, industry conditions, website authority, content quality, and user behavior.

19. Intellectual Property

Unless otherwise agreed in writing, ownership of final custom deliverables will be transferred to the client after the applicable project payments have been received in full.

Until full payment is received, WebMalwa may retain ownership or usage rights over project materials.

Third-party materials remain subject to their respective licenses.

This may include:

  • Premium themes

  • Plugins

  • Fonts

  • Stock images

  • Applications

  • Software

  • Third-party code

  • Templates

  • Other licensed resources

The client does not automatically receive ownership of third-party intellectual property.

20. WebMalwa Portfolio Rights

Unless otherwise agreed in writing, WebMalwa may display completed websites, designs, screenshots, logos, or project descriptions in its portfolio and promotional materials.

If a project contains confidential information or the client has requested confidentiality in writing, WebMalwa will consider the request appropriately.

21. Confidentiality

WebMalwa will make reasonable efforts to keep confidential business and project information shared by clients private.

However, confidentiality does not apply to information that:

  • Is publicly available

  • Was already known to WebMalwa

  • Becomes publicly available without breach of these terms

  • Is required to be disclosed by law

  • Is necessary to provide the agreed services through a third-party provider

Where appropriate, a separate Non-Disclosure Agreement may be entered into between WebMalwa and the client.

22. Security and Client Credentials

Where clients provide login credentials for hosting, websites, Shopify, domains, social media, or other platforms, WebMalwa will use reasonable measures to protect such credentials.

Clients should not share unnecessary sensitive credentials.

WebMalwa is not responsible for security incidents resulting from credentials being compromised outside WebMalwa's reasonable control.

23. Prohibited Use

Clients must not use WebMalwa's services to create, publish, distribute, or promote content or activities that are unlawful or infringe the rights of others.

This includes activities involving:

  • Fraud

  • Malware

  • Phishing

  • Unauthorized access

  • Copyright infringement

  • Trademark infringement

  • Illegal products or services

  • Harmful or deceptive activities

  • Content prohibited by applicable law

WebMalwa reserves the right to refuse or suspend services where reasonably necessary.

24. Cancellation and Refunds

Cancellations and refunds are governed by WebMalwa's Refund & Cancellation Policy.

Because many WebMalwa services involve customized work and dedicated resources, payments may become non-refundable once work has commenced, subject to applicable law and the specific project agreement.

25. Limitation of Liability

To the extent permitted by applicable law, WebMalwa will not be responsible for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our website or services.

WebMalwa is also not responsible for losses caused by:

  • Third-party platform failures

  • Hosting outages

  • Domain issues

  • Shopify changes

  • Payment gateway failures

  • Search engine algorithm changes

  • Cyberattacks outside reasonable control

  • Client-provided errors

  • Unauthorized access caused by client actions

  • Events beyond reasonable control

Nothing in these Terms & Conditions is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

26. Force Majeure

WebMalwa will not be responsible for delays or inability to perform services caused by circumstances beyond reasonable control.

Such circumstances may include:

  • Natural disasters

  • Fire

  • Flood

  • Power outages

  • Internet outages

  • Government restrictions

  • War

  • Civil disturbances

  • Cyber incidents

  • Strikes
